Versatile parent
seeks new image

VERSATILE CORP., the Vancouver corporate parent of North
Vanconver’s Versatile Pacific Shipyards Inc., will seck approval of
a rew image and name at a special sharcholders meeting scheduled
for next month.

Alt the April 21 meeting the company will ask sharcholders to
approve a deal in which the Toronto-based Hees International
Corp. will defer for five years repayment of $93 million in sceured
Versatile debt thet it assumed last year and inject $125 million into
Versatile through share purchases. Hees would thea assume a 35
per cent equity position in (he company.

Versatile Corp., which has over $100 million in tax losses, has
sold al! of its major assets except Versatile Pacific, which it hopes
to sell, and # 51 per cent interest in Calgary's Bralorne Resources
Ltd., which it does not want to sell,

In addition to the financial blood transfusion fram Hees, Ver-
satile Corp. will, with sharcholder approval, reorganize its opera-
tion into a financial and investment holding corporation under the
new name of B.C. Pacific Capital Corp.

$1m contract
nears completion

DILLINGHAM CONSTRUCTION Lid. of North Vancouver is
currently completing a $1 million contract for Public Warks
Canada to divert Fraser River silt from a new port facility on the
Fraser River,

The contract involves the installation of a river (raining wall that
will divert river currents and thereby reduce silt build-up at a ship
basin being dredged for 9 new container traffic factlity.

Dillingham won the contract in late January. The project: is
scheduled to be completed in the first week of April.
