Tel), for approval! of an agreement with GTE International Incorporated (GTE) whereby B.C. Tel would acquire GTE Automatic Electric (Canada) Limited {Automatic Electric), a wholly-owned subsidiary of GTE. In accordance with Section 9A of the B.C. Tel Special Act, this agreement must be.approved by the Commission before it can come into effect. Automatic Electric, a company which was incorpo- _ rated on April 20, 1953 with its head office and chief place of business at Brockville. Ontario, manufactures telephone sets and a variety of equipment used in telephone switching systems, which are sold to operating telephone companies in Canada and abroad. Automatic Electric owns all of the issued and outstanding shares of GTE Lenkurt Electric (Canada) Limited (Lenkurt Electric). Lenkurt Electric, a company which was incorporated on February 22, 1949, with its head office and chief place of business at Burnaby, British Columbia, manufactures transmission equipment and related compo- nents which are sold to companies both in Canada and abroad. The application indicates that under the terms of the proposed agreement, GTE will sell and B.C. Tel will purchase ail of the issued and outstanding shares of Automatic Electric. in payment of the purchase price under the agreement, B.C. Tel proposes to issue to GTE not more than two million nine hundred and fifty thousand (2,950,000) ordinary shares of its capital stock with an aggregate value of not more than fifty million dollars ($50,000,000). This application raises a number of important regulat- ory issues on which the Commission invites comments from interested parties. With regard to B.C. Tel’s revenue require- ment, the Commission will wish to determina the effect of the . proposed acquisition on the Company's rate base, financial reporting requirements and Income. The relationship between B.C. Tel and Automatic Electric, both controlled directly or indirectly by GTE, has been a matter of considerable concern and attention in past regulatory proceedings. in the Commission's view, the effects of the proposed acquisition on this rélationship must be carefully examined. tn this regard, it will be important to ensure that the technological decisions and purchasing practices of B.C.
